Induplast SpA, an international leader in the production of packaging for cosmetics (stick containers such as deodorants, lip balm containers and jars for cream) based in Bolgare (BG), has acquired Parma-based Vexel Srl, active in the manufacturing and distribution of bottles, jars for cream and airless containers.
Following the finalization of the transaction, Vexel will be controlled by the Induplast Group, a platform established by the private equity fund Europe Capital Partners VI fund and by the Cortesi and Leidi families to create an industrial pole in this sector; Diego and Andrea Montali, founders of Vexel Srl, will participate in the Induplast Group project with a minority stake, maintaining their operational roles in Vexel.
The partnership will launch a diversified group in packaging for cosmetics
The partnership will create a complementary group in terms of production technologies (injection molding and blow molding), products (catalog expansion) and distribution channels, offering both companies the possibility of serving both large international players and smaller channel operators. The group will thus be able to count on two production and logistics facilities.
Mario Musolino - Chief Executive Officer of Induplast SpA - commented:
"We are delighted that Vexel has joined the Induplast Group. The excellent coverage of the small quantities market with high added value products, the quality of Vexel’s service and in-depth knowledge in this professional channel, will allow the Induplast Group to grow and diversify its portfolio."
Diego Montali - Founder of Vexel Srl - commented:
"We are proud to be a part of the Induplast Group and thus expand our international presence. We look forward to start working together and to fully express the potential of both realities."
Marco Cortesi - President of Induplast SpA - commented:
"One year after the transaction with Europe Capital Partners VI the acquisition of Vexel represents the first action aimed at the realization of the project shared with the Fund and its advisor CS & Associati."
CS & Associati, advisor to Europe Capital Partners VI, arranged the transaction on behalf of Induplast Group, assisted by Gatti Pavesi Bianchi law firm. Andrea and Diego Montali were assisted by the law firm Freshfields, DAPR Srl, Losi & Cavazzini Associati and Arkios Italy SpA.
ICCREA BancaImpresa acted as mandated lead arranger in the Vexel acquisition financing.
